1. Acceptance of Terms

By accessing or using WiseSuite ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

WiseSuite is an AI-powered marketing platform that helps businesses create, manage, and optimize their advertising campaigns across multiple platforms. The Service includes AI-assisted content creation, campaign management, analytics, and automation features.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

4. Subscription and Payments

4.1 Pricing

WiseSuite offers Free and Pro subscription tiers. Current pricing is available on our website and may be updated with 30 days notice.

4.2 Billing

Pro subscriptions are billed monthly or annually in advance. Payments are processed through Stripe. You authorize us to charge your payment method on a recurring basis.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. No refunds are provided for partial periods.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any laws or regulations
  • Create misleading, fraudulent, or deceptive advertising
  • Infringe on intellectual property rights
  • Distribute malware or harmful content
  • Attempt to access other users' accounts or data
  • Circumvent usage limits or restrictions
  • Resell or redistribute the Service without authorization

6. AI-Generated Content

WiseSuite uses AI to generate marketing content, copy, and recommendations. You acknowledge that:

  • AI-generated content is provided as suggestions and should be reviewed before use
  • You are responsible for ensuring content complies with advertising platform policies
  • AI outputs may not always be accurate or appropriate for your specific use case
  • You retain full responsibility for any content you publish using the Service

7. Third-Party Integrations

The Service integrates with third-party advertising platforms (Meta, Google, TikTok, LinkedIn). Your use of these integrations is subject to:

  • The respective platform's terms of service and advertising policies
  • API rate limits and restrictions imposed by those platforms
  • Any changes those platforms make to their APIs or policies

We are not responsible for actions taken by third-party platforms, including account suspensions or policy violations.

7.1 Automation Engine OAuth Connections

Our Automation Engine allows you to connect third-party services via OAuth 2.0 authentication. You acknowledge that:

  • You are granting WiseSuite permission to access your connected accounts on your behalf to execute automation workflows
  • We will only perform actions that you explicitly configure in your automation workflows
  • You are responsible for ensuring your automations comply with each connected platform's terms of service and acceptable use policies
  • You can revoke OAuth connections at any time from the Automation Connections page without losing your automation workflow configurations
  • Connected services may change their APIs, policies, or available scopes, which may affect the functionality of your automations
  • You are responsible for maintaining valid OAuth connections (re-authorizing if tokens expire or are revoked)
  • We will never use your OAuth connections for purposes other than executing your configured automation workflows

Supported OAuth integrations include Google services (Gmail, Sheets, Drive, Calendar), Slack, Notion, HubSpot, Airtable, and others. Each service has its own terms and data usage policies that apply in addition to these Terms.

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, and underlying technology, is owned by WiseSuite. You may not copy, modify, or reverse engineer any part of the Service.

8.2 Your Content

You retain ownership of content you create using the Service. You grant us a limited license to use this content solely to provide the Service to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free operation
  • Specific advertising results or performance
  • Accuracy of AI-generated content or recommendations
  • Compatibility with all third-party platforms

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISESUITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination:

  • Your right to use the Service ends immediately
  • We may delete your data according to our Privacy Policy
  • Any outstanding payments become immediately due

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
